1. GRANT OF LICENSE
|

Subject to the payment of the agreed one-time license fee, the Developer grants the Licensee (the "Buyer") a limited, non-exclusive, non-transferable, perpetual license to use the Software for commercial purposes.
|

"Commercial Purposes" includes:
|
| 12 |
+
- Monetized content creation (YouTube, Instagram, TikTok, etc.).
|
| 13 |
+
- Commercial advertisements and marketing materials.
|
| 14 |
+
- Integration into paid products or workflows.
|
| 15 |
+
|
| 16 |
+
2. OUTPUT OWNERSHIP
|

The Buyer owns full rights to all audio/media assets generated using the Software. The Buyer does not owe any royalties to the Developer for the revenue generated from these assets.

3. PROPRIETARY RIGHTS & RESTRICTIONS
|

The underlying code, "Emotion Engine" logic, prompt engineering, and architecture remain the sole intellectual property of the Developer.

The Buyer AGREES NOT TO:
|
| 22 |
+
A. Resell, redistribute, or sub-license the Software itself to third parties.
|
| 23 |
+
B. Reverse engineer, decompile, or attempt to extract the proprietary source code or prompt logic.
|

4. INFRASTRUCTURE & THIRD-PARTY APIS (IMPORTANT)
|

The Buyer acknowledges that the Software relies on third-party infrastructure (including but not limited to Hugging Face Spaces and Pollinations.ai/OpenAI Audio APIs).

A. "AS-IS" CONDITION: The Software is provided "as-is." The Developer does not guarantee 100% uptime or availability, as the hosting is dependent on third-party cloud providers.

B. API DEPENDENCY: The Software currently utilizes free-tier access to underlying APIs. If these third-party providers change their terms, enforce rate limits, or require paid API keys in the future, the Buyer is solely responsible for obtaining and entering their own valid API keys to continue usage.
|

C. NO REFUNDS: The license fee pays for the proprietary software logic, not the ongoing server costs. Therefore, the fee is non-refundable even if third-party services experience downtime.

5. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Developer shall not be liable for any direct, indirect, incidental, or consequential damages arising out of the use or inability to use the Software, including but not limited to loss of revenue or business interruption.

6. ACCEPTANCE

By paying the license invoice and using the Software for commercial purposes, the Buyer indicates acceptance of these terms.
